COMMUNITY MOBILE APPS ADVERTISING AGREEMENT

This Advertising Agreement (the "Agreement") is made effective as of the date signed by the Advertiser (the "Advertiser") and The Avid Foodie ("App Name"), a mobile community app (the "App"), operated by Lee Digitek, located in Polk County, Fl. The Advertiser and App Name may collectively be referred to as the "Parties" or individually as a "Party."

1. Scope of Agreement

1.1. Advertising Services
The App agrees to provide advertising space to the Advertiser on the App, which may include banners, videos, interstitial ads, sponsored posts, or any other ad formats as described in the App’s ad guidelines.

1.2. Advertiser's Responsibilities
The Advertiser is responsible for supplying the content of the advertisements, including but not limited to, text, images, videos, logos, and URLs. The Advertiser must ensure that all content complies with the App’s content guidelines (Section 5).

2. Term and Duration

2.1. Term of Agreement
This Agreement will commence on the effective date and continue for a period of 30 days unless terminated earlier as provided herein.

2.2. Renewal
The Agreement may be renewed by mutual consent of both Parties, subject to the terms and conditions of the original Agreement or amended terms. Simply pay the invoice and continue.

3. Advertising Fees and Payment

3.1. Advertising Fees
The Advertiser agrees to pay the App the agreed-upon fees for the advertising space as specified in the pricing schedule. Fees will be charged a $15.00 monthly fixed price.

3.2. Payment Terms
Payments for advertising services are due upfront before ads are placed. All payments must be made to: Lee Digitek, LLC.

3.3. Late Payments
Late payments may incur a fee of $5.00 or other penalties as deemed appropriate by the App.

4. Ad Performance and Metrics

4.1. Tracking and Reporting
The App will provide regular reports to the Advertiser on the performance of the advertisements, including metrics such as impressions, clicks, and engagement rates, as available.

4.2. Performance Guarantees
While the App will make commercially reasonable efforts to ensure the success of the Advertiser's campaign, no performance guarantees are made in terms of impressions, clicks, conversions, or other measurable metrics.

5. Content Guidelines

5.1. Acceptable Content
The Advertiser agrees that all content provided for the advertisement will comply with the following guidelines:

Content must not violate any local, state, or national laws.
Content must not be offensive, discriminatory, or harmful to others.
Content must not infringe upon the intellectual property rights of third parties.

5.2. Right to Reject or Remove Content
The App reserves the right to review, approve, or reject any advertisement or content that violates the guidelines or could damage the reputation of the App or its users. The App may remove any advertisement without prior notice if it violates these guidelines.

6. Confidentiality

6.1. Confidential Information
Both Parties agree not to disclose any confidential information regarding the terms of this Agreement, payment amounts, or any business strategies unless required by law or with the prior consent of the other Party.

7. Termination

7.1. Termination by Either Party
Either Party may terminate this Agreement at any time by providing 7 days email notice to the other Party.

7.2. Termination for Cause
The App may immediately terminate this Agreement if the Advertiser breaches any terms, fails to make timely payments, or violates any applicable laws.

7.3. Effect of Termination
Upon termination of this Agreement, all outstanding payments become immediately due and payable. Any ads that are running at the time of termination will be removed promptly.

8. Indemnification

8.1. Advertiser’s Indemnity
The Advertiser agrees to indemnify, defend, and hold harmless the App, its officers, employees, and affiliates from any claims, damages, or liabilities arising from the Advertiser’s content, breach of this Agreement, or violation of any law.

8.2. App’s Indemnity
The App agrees to indemnify, defend, and hold harmless the Advertiser from any claims or liabilities arising from the App’s negligence or misconduct.

9. Limitation of Liability

9.1. Limitation of Damages
In no event will the App be liable for any indirect, incidental, special, or consequential damages arising from this Agreement, even if the App has been advised of the possibility of such damages.

10. Governing Law

10.1. Applicable Law
This Agreement will be governed by and construed in accordance with the laws of Lakeland, Polk County and Florida.

11. Miscellaneous

11.1. Entire Agreement
This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements, understandings, and communications.

11.2. Amendments
Any amendments to this Agreement must be made in writing and signed by both Parties.

11.3. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full effect.

By signing below, the Advertiser and Lee Digitek agree to the terms and conditions set forth in this Agreement.
